Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website operated at vnvalue.tech and any related subdomains, pages, APIs, and content (collectively, the "Service"), operated by vnvalue ("we", "us", "our"), an independent Vietnam equity research and education project. By accessing or using the Service you agree to be bound by these Terms and by the Privacy Policy. If you do not agree, you must not access or use the Service.

The Service publishes algorithmic, methodology-driven valuation outputs, financial metrics, historical back-tests, earnings quality scores, forensic indicators, and ownership data for securities listed on Vietnamese exchanges. All outputs are deterministic functions of publicly available financial data and published formulas.

The Service is provided solely for informational, educational, and research purposes. It is a passive research tool, not a subscription advisory service, and does not tailor any output to any individual user, portfolio, or circumstances.

Nothing on the Service constitutes, or is intended to constitute, investment, financial, legal, tax, or accounting advice, or a personalized recommendation. The Service is not a licensed investment advisor, broker, dealer, fund manager, or securities firm under Law on Securities No. 54/2019/QH14 of the Socialist Republic of Vietnam, and is not registered with the State Securities Commission of Vietnam (UBCKNN) or any foreign securities regulator.

No advisor-client, fiduciary, agency, partnership, joint venture, employment, or similar relationship is created between you and us by your use of the Service.

You should not act or refrain from acting on the basis of any content on the Service without seeking independent professional advice from advisors licensed in your jurisdiction.

Content on the Service does not constitute an offer, solicitation, inducement, invitation, or recommendation to buy, sell, hold, subscribe to, underwrite, or transact in any security, derivative, fund, token, or other financial instrument, in any jurisdiction where such an offer or solicitation would be unlawful.

You represent that you are at least 18 years old, have the legal capacity to enter into these Terms, and are not barred from using the Service under any applicable law.

The Service is operated from and primarily directed at users in Vietnam. It is not directed at, and must not be used by, persons in any jurisdiction where such distribution, publication, or use would be unlawful or would require licensing or registration we do not hold. You are solely responsible for ensuring that your access to and use of the Service complies with all laws and regulations applicable to you.

Financial statements, prices, ownership records, and related data are sourced from third parties, including but not limited to Vietcap (VCI) and KB Securities (KBS). We do not independently audit or verify third-party data and make no representation as to its accuracy, completeness, timeliness, or fitness for any purpose. Third-party data may contain errors, omissions, delays, revisions, or restatements beyond our control.

All trademarks, service marks, and trade names referenced on the Service are the property of their respective owners and are used for identification purposes only. Their appearance does not imply any endorsement, sponsorship, or affiliation.

The Service, including all data, models, formulas, outputs, back-tests, scores, reports, and content, is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties, including warranties of accuracy, completeness, timeliness, reliability, merchantability, fitness for a particular purpose, title, and non-infringement.

Valuation models are mathematical simplifications of reality and may produce incorrect, outdated, or misleading results. We make no representation that any output is correct, appropriate, or suitable for any particular investor, portfolio, or purpose. Past performance and back-tested results are not indicative of future results.

To the maximum extent permitted by applicable law, in no event shall vnvalue, its operators, contributors, affiliates, licensors, data providers, or service providers be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages — including without limitation loss of profits, revenue, investment capital, trading losses, data, goodwill, or business opportunity — arising out of or in connection with your access to, use of, reliance on, or inability to use the Service or any content, whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You are solely responsible for any decision you make based on content on the Service and for the consequences of those decisions. Before acting, you must conduct your own independent due diligence, consult a licensed financial advisor authorized in your jurisdiction, and evaluate your financial situation, objectives, time horizon, and risk tolerance.

Investing in securities — particularly in emerging markets such as Vietnam — involves substantial risk, including the partial or total loss of invested capital. You accept all such risks.

You agree not to: (a) use the Service in any way that violates any applicable law or regulation; (b) scrape, crawl, harvest, or bulk-download content except through interfaces we expressly make available; (c) reverse-engineer, decompile, or attempt to extract the source code of any part of the Service; (d) interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure; (e) use the Service to publish, redistribute, or commercially exploit content without our prior written permission; or (f) use the Service to provide licensed advisory services to third parties without appropriate regulatory authorization.

The Service, including its methodology, code, design, text, graphics, and original outputs, is owned by or licensed to us and is protected by applicable intellectual property laws. Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and view content for personal, non-commercial research and educational use. All other rights are reserved.

We have no obligation to update, correct, maintain, or continue publishing any content on the Service. Content may become stale, superseded, or inaccurate at any time without notice. The presence of a valuation, score, or report does not imply ongoing coverage of the subject company. We may modify, suspend, or discontinue any part of the Service at any time without notice or liability.

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless vnvalue and its operators, contributors, affiliates, licensors, and data providers from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of or access to the Service, (b) your violation of these Terms, (c) your violation of any third-party right, including any intellectual property, privacy, or regulatory right, or (d) any investment decision or transaction you make in reliance on the Service.

We may revise these Terms at any time. Revised Terms become effective when posted to the Service. Your continued access to or use of the Service after changes become effective constitutes your acceptance of the revised Terms. You are responsible for reviewing these Terms periodically.

These Terms and any dispute arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws principles.

Any dispute shall be submitted to the exclusive jurisdiction of the competent courts of the Socialist Republic of Vietnam, except where mandatory consumer protection laws of your country of residence require otherwise.

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and any notices posted on the Service, constitute the entire agreement between you and us concerning the Service.
